EN ACCEPTANT LES TERMES DU PRESENT ACCORD, EDF POWER SOLUTIONS CONCEDE AU LICENCIE UNE LICENCE D’UTILISATION DU LOGICIEL DANS LES CONDITIONS DEFINIES CI-APRES.
0. MENTIONS LEGALES
EN INSTALLANT ET EN UTILISANT LE LOGICIEL, LE LICENCIE EST REPUTE AVOIR PRIS CONNAISSANCE ET ACCEPTER SANS RESERVE LE PRESENT ACCORD. LE LICENCIE EST INVITE A LE CONSULTER REGULIEREMENT, TOUTE NOUVELLE VERSION DE CET ACCORD LUI ETANT OPPOSABLE IMMEDIATEMENT ET SANS NOTIFICATION PREALABLE.
EN ACCEPTANT L’ACCORD AU NOM D’UNE PERSONNE MORALE, LE LICENCIE EST REPUTE ETRE DUMENT HABILITE A ENGAGER CETTE PERSONNE MORALE.
1. DEFINITIONS
« Accord » : désigne le présent accord de licence.
« Licencié » : désigne l’utilisateur du Logiciel à qui EDF Power solutions concède une licence d'utilisation du Logiciel.
« Logiciel » : désigne l’ensemble des codes binaires et ses librairies du programme informatique SmartAccess disponible en l'état, propriété d'EDF Power solutions, et sa documentation associée. Le Logiciel est édité par EDF Power solutions, Société anonyme au capital social de 226 775 000 euros, R.C.S. Nanterre 434689915, 43 Boulevard des Bouvets, CS 90310 – 92741 Nanterre Cedex.
2. OBJET
L'Accord a pour objet de déterminer les conditions suivant lesquelles EDF Power solutions concède au Licencié une licence gratuite d’utilisation non exclusive, non cessible et non transférable du Logiciel.
3. LICENCE D’UTILISATION
L’Accord concède au Licencié le droit d’utiliser gratuitement le Logiciel conformément à sa destination telle que décrite dans sa documentation, pour ses besoins propres, dans le cadre d'interventions pour le compte exclusif d’EDF Power solutions ou d'une de ses filiales et en dehors de tout usage publicitaire ou commercial.
Le Licencié ne pourra procéder à aucune reproduction partielle ou totale du Logiciel, quelle qu'en soit la forme, à l’exception de la reproduction du Logiciel nécessaire à son installation.
Le Licencié s’interdit en particulier de :
(i) traduire, adapter, arranger ou modifier le Logiciel,
(ii) procéder ou faire procéder à la correction des défauts du Logiciel,
(iii) décompiler ou désassembler le Logiciel,
(iv) céder, transmettre ou communiquer à un tiers, même à titre gratuit, les droits d'utilisation qui lui sont concédés par l’Accord.
4. PROPRIETE INTELLECTUELLE
4.1. Les images, textes, programmes, marques, logos et tous autres composants, notamment le code-source, du Logiciel appartenant à EDF Power solutions sont protégés par le droit de la propriété intellectuelle.
La concession du droit d'utilisation du Logiciel n'entraîne le transfert d'aucun droit de propriété au profit du Licencié, EDF Power solutions conservant la propriété exclusive du Logiciel ainsi que de tous les droits y afférents. En particulier, le Licencié s’engage à ne pas supprimer la mention du « copyright » du Logiciel, quel que soit l’emplacement ou le support sur lequel elle figure.
4.2. Le Licencié s’engage à ce que son utilisation du Logiciel ne porte en aucun cas atteinte aux droits d’EDF Power solutions, et notamment à ce que cette utilisation ne constitue pas un acte de (i) contrefaçon, délit puni en application des articles L. 335-2 et suivants du code de la propriété intellectuelle et/ou de (ii) concurrence déloyale ou parasitaire, en application des articles 1240 et 1241 du code civil.
4.3. Si des poursuites relatives à de brevets, logiciels ou de tout autre droit de propriété intellectuelle de tiers étaient exercées contre le Licencié ou contre EDF Power solutions en raison de l’utilisation du Logiciel par le Licencié, le Licencié supporterait seul les frais du litige ainsi que les éventuelles condamnations qui pourraient être prononcées contre lui ou EDF Power solutions et ne saurait, en aucun cas, réclamer à EDF Power solutions une quelconque indemnité de ce chef.
4.4. Tout acte de contrefaçon et/ou de concurrence déloyale relatif au Logiciel qui serait le fait de tiers et dont le Licencié aurait connaissance devra être immédiatement notifié à EDF Power solutions qui fera son affaire des poursuites à mener s’il l’estime utile ou opportun.
5. PROCEDURE DE DELIVRANCE DU LOGICIEL
EDF Power solutions met à disposition le Logiciel dans les stores d’application publics tels que l’Appstore et GooglePlay.
6. GARANTIE
Le Licencié reconnaît que le Logiciel est fourni « en l'état » et « comme disponible » par EDF Power solutions, sans aucune garantie de quelque sorte que ce soit, expresse ou tacite, et notamment sans aucune garantie sur leur valeur commerciale, leur caractère sécurisé, innovant ou pertinent.
En particulier, EDF Power solutions ne garantit pas que le Logiciel est exempt d'erreur, qu’il fonctionne sans interruption, qu’il sera compatible avec l’équipement du Licencié et sa configuration logicielle ni qu’il remplira les besoins du Licencié.
7. FORCE MAJEURE
Les parties ne pourront être tenues responsables d'un manquement à l'une de leurs obligations au titre de l’Accord qui résulterait d’un évènement de force majeure tel qu’il résulte de l’article 1218 du Code civil et de la jurisprudence des tribunaux français.
8. RESPONSABILITE
EDF Power solutions ne pourra en aucun cas être tenu responsable de tout dommage, direct ou indirect, matériel ou immatériel, causé au Licencié ou à un tiers, résultant de ou liés à l’utilisation et/ou aux performances du Logiciel ou à l’exécution de l’Accord.
Le Licencié convient expressément que tout préjudice financier ou commercial tel que, et sans que cette liste ne soit limitative, notamment perte de données, perte de bénéfices, perte d’exploitation, perte de commandes, manque à gagner, trouble commercial quelconque ou toute action dirigée contre le Licencié par un tiers, n’ouvre pas droit à réparation.
Par conséquent, le Licencié assume tous les risques inhérents à l’utilisation du Logiciel.
9. DUREE - RESILIATION
L’Accord entre en vigueur à la date à laquelle le Licencié accepte les termes de l’Accord lors de la procédure de téléchargement du Logiciel.
Le Licencié peut, à tout moment, résilier l’Accord, en désinstallant le Logiciel et en supprimant toutes ses copies.
10. LOI APPLICABLE – REGLEMENT DES DIFFERENDS
L’Accord est régi par la loi française.
Les parties conviennent de tenter de régler à l’amiable tout différend relatif à l’interprétation, à l’exécution ou à la résiliation de l’Accord. Au cas où elles n’y parviendraient pas dans un délai de deux (2) mois à compter de la notification du différend par l’une des parties à l’autre, le différend sera porté par la Partie la plus diligente devant le Tribunal de grande instance de Paris.
11. PROTECTION DES DONNEES
La société EDF Power solutions, dont le siège social se situe 43 Boulevard des Bouvets, CS 90310 – 92741 Nanterre Cedex, a placé ses locaux sous contrôle d'accès afin d’assurer la sécurité des personnes et de ses biens. Les données enregistrées dans ce dispositif ne sont pas utilisées à des fins de surveillance du personnel ni de contrôle des horaires.
Ce traitement est basé sur l’intérêt légitime (cf. article 6.1.f) du Règlement Européen sur la Protection des Données. Les données peuvent être consultées, en cas d’incident, par le personnel habilité d’EDF Power solutions et de ses sous-traitants et par les forces de l’ordre. Les personnels de la société en charge de la maintenance du matériel peuvent également accéder à cette donnée, à cette seule fin.
Les informations vous concernant seront conservées 12 mois, après votre dernier accès aux sites, puis conservées en archives définitives pour une durée correspondant à la durée de vie du site, sauf obligations légales ou réglementaires éventuelles nous imposant une durée de conservation plus longue.
Conformément à la réglementation applicable en matière de protection des données à caractère personnel, vous disposez d’un droit d’accès, de rectification, d’effacement, de limitation, de portabilité et d’objection au traitement de vos données. En cas de décès, vous pouvez exercer ces droits en écrivant à l'adresse électronique suivante : privacy@edf-power.com
Vous disposez également d'un droit de recours auprès d'une autorité nationale de contrôle telle que la Commission Nationale de l'Informatique et des Libertés en cas de violation de la réglementation applicable en matière de protection des données personnelles et notamment du Règlement européen n°2016-679 Général sur la Protection des Données (RGPD) en vigueur depuis le 25 mai 2018.
EDF Power solutions a nommé un Délégué à la Protection des Données (« Data protection Officer » - DPO) que vous pouvez contacter pour toute question relative au traitement de vos données personnelles ainsi que pour exercer vos droits.

12. DIVERS
12.1. NULLITE
Dans l’hypothèse où une ou plusieurs des stipulations de l’Accord seraient tenues pour non-valides ou déclarées comme telles en application d’une loi, d’un règlement ou à la suite d’une décision définitive d’une juridiction compétente, toutes les autres stipulations de l’Accord resteront en vigueur et garderont donc leurs entières force et portée. EDF Power solutions amendera la ou les stipulations tenues pour non-valides ou déclarées comme telles afin de se conformer à cette loi, à ce texte ou à cette décision.
12.2. INTEGRALITE DE L'ACCORD
L’Accord constitue l'intégralité de l'accord entre le Licencié et EDF Power solutions. Il annule et remplace toute convention antérieure, écrite ou orale, entre les parties sur le même objet.
12.3. NON RENONCIATION
Le fait, par l'une ou l'autre des parties de ne pas se prévaloir d'une ou plusieurs stipulations de l’Accord ne pourra en aucun cas être considéré comme une renonciation par la partie intéressée à s'en prévaloir ultérieurement.
LICENSE AGREEMENT FOR FREE AND NON-COMMERCIAL USE OF THE “SMARTACCESS” SOFTWARE (ALL VERSIONS)
BY ACCEPTING THE TERMS OF THIS AGREEMENT, EDF POWER SOLUTIONS GRANTS TO THE LICENSEE THE LICENSE TO USE THE SOFTWARE UNDER THE CONDITIONS SET OUT BELOW.
0. LEGAL NOTICES
BY INSTALLING AND USING THE SOFTWARE, THE LICENSEE SHALL BE DEEMED TO HAVE READ AND ACCEPTED THE AGREEMENT WITHOUT RESERVE.
THE LICENSEE SHALL REFER TO IT REGULARLY AS ALL NEW VERSIONS OF THIS AGREEMENT ARE ENFORCEABLE AGAINST HIM/HER IMMEDIATELY AND WITHOUT NOTICE.
BY ACCEPTING THE AGREEMENT ON BEHALF OF A CORPORATION, THE LICENSEE SHALL BE DEEMED TO BE DULY AUTHORIZED TO BIND THAT LEGAL ENTITY.
1. DEFINITIONS
"Agreement" means the present license agreement.
"Licensee" means the user of the software to whom EDF Power solutions grants a license to use the Software.
"Software" means all the binary codes and libraries of the computer program SmartAccess available as such, property of EDF Power solutions, and its associated documentation.
The Software is edited by EDF Power solutions, Limited Liability Company with a registered capital of € 226 775 000, Nanterre Company Register, company registration number 434689915, 43 Boulevard des Bouvets, CS 90310 – 92741 Nanterre Cedex.
2. PURPOSE
The Agreement aims to determine the conditions under which EDF Power solutions grants to the Licensee a free license for non-exclusive, non-assignable and non-transferable use of the Software.
3. LICENSE
The Agreement grants to the Licensee the right to use the software free of charge, in accordance with its intended purpose as described in its documentation, for his/her own needs, within the framework of interventions on behalf of EDF Power solutions exclusively, or one of its subsidiaries and excluding any advertising or commercial use.
The licensee shall refrain from making any total or partial reproduction of the Software, regardless of its shape, except for the reproduction of the Software inherent to its installation.
In particular, the Licensee shall abstain from:
(i) translating, adapting, arranging or modifying the Software,
(ii) correcting the defects of the Software or having them corrected,
(iii) decompiling or disassembling the Software,
(iv) assigning, conveying or communicating the usage rights that are granted to him/her by the Agreement to third parties, even for free.
4. INTELLECTUAL PROPERTY
4.1. The images, texts, programs, trademarks, logos and all other components, including the source code, of the Software owned by EDF Power solutions are protected by intellectual property law.
The concession of the right to use the Software does not entail any transfer of ownership to the benefit of the Licensee, EDF Power solutions retaining exclusive ownership of the Software and all rights pertaining thereto. In particular, the Licensee shall not remove the "copyright" reference of the Software, regardless of the location or the media on which it appears.
4.2. The Licensee undertakes to use the Software in a way that affects by no means the rights of EDF Power solutions, and in particular not to commit any (i) intellectual property right infringement, punishable under Articles L. 335-2 et seq. of the Code de Propriété Intellectuelle and / or (ii) unfair or abusive competition, pursuant to Articles 1240 and 1241 of the Code Civil.
4.3. In case of prosecution relating to patents, software or any other intellectual property right of a third party instituted against the Licensee or against EDF Power solutions due to the use of the Software by the Licensee, the Licensee alone shall bear the litigation costs as well as any convictions that might be pronounced against him or EDF Power solutions and shall not, under any circumstances, claim any compensation on this count from EDF Power solutions.
4.4. Any intellectual property right infringement and / or unfair competition relating to the Software committed by a third party that the Licensee has knowledge of should immediately be notified to EDF Power solutions, which will take upon itself to initiate legal proceedings if it deems it useful or appropriate.
5. ISSUING PROCEDURE OF THE SOFTWARE
The Software will be made available by EDF Power solutions on public application stores such as Google Play and App Store.
6. WARRANTY
The Licensee acknowledges that the Software is provided "such as" and "as available" by EDF Power solutions, without a warranty of any kind, express or implied, and notably without any guarantee on its market value, safety, relevance or innovative character.
In particular, EDF Power solutions does not guarantee that the Software is error-free, that it operates without interruption, that it will be compatible with the Licensee's own equipment and software configuration, nor that it will meet the Licensee's requirements.
7. FORCE MAJEURE
The parties may not be liable for a breach of any of their obligations under the Agreement resulting from a force majeure event pursuant to Article 1218 of the Civil Code and French courts case law.
8. LIABILITY
In no way will EDF Power solutions be held responsible for any damage, direct or indirect, material or immaterial, caused to the Licensee or to any third party arising out of or related to the use and / or performance of the Software or the execution of the Agreement.
The Licensee expressly agrees that any financial or commercial damage such as, without this list
being exhaustive, loss of data, loss of profits, business interruption, loss of orders, loss of profits, business disruption of any nature or any legal action brought by a third party against the Licensee opens no right to compensation.
Therefore, the Licensee assumes all risks inherent to the use of the Software.
9. DURATION - TERMINATION
The Agreement comes into force on the date that the Licensee agrees to the terms of the Agreement during the software download process.
The Licensee may at any time terminate the Agreement by uninstalling the Software and removing all of its copies.
10. APPLICABLE LAW - SETTLEMENT OF DISPUTES
The Agreement is governed by French law.
The parties agree to attempt to settle amicably any dispute concerning the interpretation, implementation or termination of the Agreement. In the event that they would not succeed within two (2) months from the notification of the dispute by one party to another, the dispute shall be referred by the earliest petitioner to the Tribunal de Grande instance of Paris.
11. DATA PROTECTION
EDF Power solutions, whose registered office is located at 43 Boulevard des Bouvets, CS 90310 – 92741 Nanterre Cedex, has placed its facilities under access control in order to ensure the safety of its staff and property. The data recorded in this system is not used for personnel surveillance or time and attendance control.
This processing is based on legitimate interest (see Article 6.1.f) of the European Data Protection Regulation. The data may be consulted, in the event of an incident, by authorized personnel of EDF Renewables and its subcontractors and by the law enforcement authorities. The personnel of the company in charge of the maintenance of the equipment can also access this data, for this only purpose.
The information concerning you will be retained for 12 months after your last access to the sites, and then stored in a permanent archive for a period corresponding to the life of the site, unless legal or regulatory obligations require us to retain it for a longer period.
According to the applicable regulations on the protection of personal data, you have the right to access, rectify, delete, limit, portability and object to the processing of your data. In the event of your death, you can exercise these rights by writing to the following e-mail address: privacy@edf-power.com.
You also have the right to make a complaint to a national supervisory authority such as the Commission Nationale de l'Informatique et des Libertés in the event of a breach of the applicable regulations on the protection of personal data and, in particular, of the European General Data Protection Regulation No. 2016-679 (RGPD) in force since 25 May 2018.
EDF Renewables has designated a Data Protection Officer (DPO) whom you can contact for any questions relating to the processing of your personal data and to exercise your rights.

12. MISCELLANEOUS
12.1. NULLITY
In the event that one or more provisions of the Agreement were held to be invalid or were found to be so under the application of a law or regulation or following a definitive decision by a court of law with the appropriate jurisdiction, the other stipulations shall remain into force and shall maintain their entire validity and scope. EDF Power solutions shall amend the provisions held or found to be invalid so as to comply with the aforementioned law, or text or judicial decision.
12.2. ENTIRETY
The present Agreement forms the entire agreement between the Licensee and EDF Power solutions. It supersedes any prior agreement, oral or written, between the parties regarding the same subject.
12.3. NO WAIVER
Either party abstaining from invoking one or more provisions of the Agreement shall in no case be deemed by the interested party to have waived its rights to invoke this or these provisions at a later stage.
